Rebecca ChanPartner, Deloitte HK
Rebecca Chan is a senior audit partner with over 33 years of experience working with international accounting firms as well as the Stock Exchange of Hong Kong Limited. Before joining Deloitte, Rebecca had acted as the Senior Vice President of the Hong Kong Exchanges and Clearing Limited, where she headed the IPO Transactions Department and the Accounting Affairs Department of the Listing Division. She has been heavily involved in providing accounting and listing rules advice and working on initial public offerings and post-listing transactions. Apart from auditing and capital market experience, Rebecca has been involved in advisory and due diligence work such as a feasibility study on building up an exchange, reviewing internal control systems, assisting in formulation of financial reporting and accounting policies, providing tax services for listed and unlisted companies and participating in projects that aimed at comparing and making suggestions for regulatory rules of various overseas Stock Exchanges or markets, including markets in ASEAN countries, Taiwan, the Middle East and Europe.

Yiming LiuPartner, Cooley
Yiming Liu is a partner of Cooley’s global capital markets team. He represents companies and investment funds on strategic transactions in the life sciences and technology industries. Yiming regularly advises clients on the structuring, negotiation and documentation of a wide range of cross-border transactions, including mergers and acquisitions, private equity financings, joint ventures, research collaborations and licensing arrangements. In addition, Yiming is widely recognized for his work on life sciences IPOs in Hong Kong and the US. With advanced degrees in molecular, cellular and developmental biology and health services administration, Yiming leverages his technical background to help clients achieve desired results. He received his JD from Columbia University, MS in Molecular, Cellular and Developmental Biology and MHSA (Health Services Administration) from University of Michigan, and BS (Biological Sciences) from Fudan University.
Patrick LoofbourrowPartner, Cooley
Patrick Loofbourrow is a co-founder of Cooley’s Shanghai office and splits his time across Cooley’s Asia and California offices. Patrick’s practice focuses on the representation of high-growth emerging technology and life sciences companies as well as venture capital and other firms that invest in those companies across Asia and the US. Concentrating on corporate and securities law, he has counseled company clients and investors in a wide variety of projects, including company formations, spin-offs, private and public financings, initial public offerings, mergers and acquisitions, joint venture and other strategic transactions, employee equity incentives, corporate governance matters and SEC reporting and compliance. Patrick counsels companies in a variety of industries, including biotechnology, digital health, healthcare, medical devices, fintech, ecommerce, edtec and software.
Patrick received his JD, summa cum laude from the University of San Diego School of Law in 1999, where he was elected to the Order of the Coif and served as Lead Editor of the San Diego Law Review. He completed joint Bachelor’s degrees in International Relations and Anthropology, with an emphasis in Latin America, at Stanford University in 1988. Patrick is bilingual in Spanish and English and has lived in Ecuador.

Lili ZhengPartner, Deloitte US
Lili Zheng is responsible for Deloitte’s overall cross-functional services to Chinese clients investing in the US. She currently serves as the Deloitte’s Asia Pacific Cross Border Services Leader and Deputy Managing Partner of Deloitte US Chinese Services Group. Lili is a senior US international tax partner with substantial experience in cross-border tax planning. Leveraging on her extensive experience in Deloitte offices in San Francisco, Tokyo, Beijing, San Jose and Hong Kong, she provides practical and implementable solutions to companies on their cross-border investments, JV planning, M&A, entry and exit strategies. She has extensive knowledge advising clients ranging from start-up to sizable multinational companies and in various industries including life sciences & healthcare, consumer products, e-commerce, TMT, VC/PE funds, and manufacturing. Fluent in Chinese, she has a deep understanding of the unique considerations of investors with Asian backgrounds.
Outside Deloitte, Lili is a member of the Board of Directors at Huayuan Science and Technology Association in Silicon Valley, and a member of BayHelix. Lili received her B.S., Accounting and Finance from UC Berkeley and M.S. in Taxation from Golden Gate University. She is a licensed CPA in California and New York and a member of AICPA.
